To form a GmbH in Germany, it is no longer necessary to go to a notary. Since 1.8.2022, online formations are possible; the founding shareholders must register via a notary app (www.notar.de) and must be in possession of an electronically readable ID.

Video negotiation need not be expressly provided for in the articles of association. The legislator has amended § 48 (1) GmbHG to the effect that meetings may now be held by telephone or by means of video communication, provided that all shareholders agree to this in text form.
